Safelink provides the firm with a Keystone-branded online data room tool. Like all data rooms, it allows documents to be stored online and for users to access them subject to permission limits and audit trails which we can be set as required. However, unlike most data rooms, we can create a due diligence/data room questionnaire in Word, with one click upload it to the data room and then let the client (i.e. the seller) answer all the questions and upload all the documents. In the alternative the COLs can populate and manage the data room. The charge to the client for this service is set out in the Rate Card. To request a data room, you should contact the COLs.
We strongly recommend that whenever we open a data room, we should require users to agree to some basic data room rules. Based on a standard PLC precedent, our template is attached here. The COLs will automatically add these rules once you have populated them with the correct information for your purposes. Safelink settings will only require a user to accept the rules once (and not on subsequent visits).
Serviced data rooms from Datasite are also available. These are better suited to very large data rooms. We encourage clients to engage with Datasite directly. Keystone's contact at Datasite is Jack Whitby (jack.whitby@datasite.com). We can make the introduction, but it's a lot easier (and less timely and costly) if populating the data room is left to the client. Datasite have a 24/7 365 support team to assist the client with navigating their way around the data room, and this is included in the fees paid for the data room.
